Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Tsoden revenue-readiness audit service, the website at https://quicko.tsoden.ai, and any related free or paid offerings (together, the "Service"). By using the Service or purchasing a paid plan, you agree to these Terms. If you do not agree, do not use the Service.

The Service provides an automated, software-generated audit of a business's publicly accessible homepage. It returns a 0–100 "revenue-readiness" score and a prioritized list of suggested fixes, by analyzing publicly available buying-decision, SEO and AEO (AI/answer-engine optimization) signals. We also offer optional paid services: a one-off detailed audit, a 48-hour fix pack, and monthly monitoring.

The audit is an automated estimate. It is generated by software that fetches and renders public pages and applies heuristics. It is informational only. We make no guarantee that following it will improve your search rankings, traffic, conversions, revenue, or any other outcome, and nothing in the Service is a promise of results. See section 9 and our Disclaimer.

Our audit covers only publicly available pages. We do not log in to, bypass, or circumvent any access control, and we do not access private, password-protected, or otherwise non-public data. See our Audit Practices page.

3. Eligibility and accounts

The Service is intended for businesses and for individuals acting on behalf of a business who are at least 18 years old and able to form a binding contract. You are responsible for the accuracy of information you provide and for keeping any account credentials secure.

We may suspend or terminate access for breach of these Terms or to protect the Service or others.

5. Free audit

The free audit is provided at no charge and "as is". We may change, limit, or discontinue the free audit at any time. We may decline to audit a URL, and anyone can request not to be audited or contacted (see the Audit Practices page).

Our standard policy:

Consumers: if you purchase as a consumer (not for purposes of your trade or profession) and EU/Slovak or UK consumer law applies, you may have a statutory right of withdrawal (typically 14 days). Where you request immediate performance of a digital service and acknowledge that you lose the withdrawal right once performance has begun (or is complete), that right may not apply. Nothing in these Terms limits non-waivable statutory consumer rights.

8. Intellectual property and ownership

We own (or license) all rights in the Service, including the software, scoring methodology, report templates, branding, and content, excluding your data and any third-party content. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service and to use the audit output for your own internal business purposes.

You retain ownership of the inputs you provide. By submitting inputs, you grant us a licence to process them to provide and improve the Service, subject to our Privacy Policy. Trademarks, names, and logos of audited or third-party businesses remain the property of their respective owners; our use of them (if any) is purely descriptive and implies no affiliation or endorsement — see the Disclaimer.

9. No guarantee of results; disclaimer of warranties

To the maximum extent permitted by law, the Service and all audit output are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation.

Without limitation, we do not warrant that the audit is accurate, complete, or current; that any score or recommendation reflects a definitive assessment; or that acting on the audit will produce any particular ranking, traffic, conversion, revenue, or other result. The audit is an automated estimate that you must independently evaluate before acting on it. Paid services may include human verification of specific findings, but still do not guarantee outcomes.

10. Limitation of liability

To the maximum extent permitted by law:

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that applicable mandatory law does not allow to be limited. If you are a consumer, your non-waivable statutory rights are unaffected.

11. Indemnity

You agree to indemnify and hold harmless Denha Nexus s.r.o. and its officers and personnel from and against any claims, losses, liabilities, and reasonable expenses (including legal fees) arising from your breach of these Terms, your misuse of the Service, your violation of law or third-party rights, or any URL or content you submit that you had no right to submit.

12. Third-party services and links

The Service relies on third-party providers (Stripe, Resend, OpenAI, and our hosting provider) and may link to third-party sites we do not control. We are not responsible for third-party services or content; your use of them is subject to their terms.

13. Suspension, termination and changes to the Service

We may modify, suspend, or discontinue all or part of the Service at any time. We will give reasonable notice of material adverse changes to paid services where practicable. We may terminate or suspend your access for breach or where required by law.

14. Changes to these Terms

We may update these Terms. We will update the "Last updated" date and, for material changes affecting paid services, take reasonable steps to notify you. Continued use after changes take effect constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the Slovak Republic, and, where applicable, mandatory EU law. The courts of the Slovak Republic (Bratislava) have jurisdiction, except that, if you are a consumer, you benefit from any mandatory protections and competent courts of your country of residence as provided by applicable law.

Dispute process: before commencing proceedings, please contact us at support@tsoden.ai so we can attempt to resolve the matter informally; we will engage in good faith for at least 30 days. EU consumers may also use the European Commission's Online Dispute Resolution platform where applicable.

16. Miscellaneous

If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or asset sale. These Terms, together with the Privacy Policy, Disclaimer, Audit Practices page, and Anti-Spam & Outreach Policy, are the entire agreement between you and us regarding the Service.
